Terms of Service

Effective 2026-10-18

The terms governing your use of the hosted Tenebrite subscription service.

1. About These Terms & Acceptance

Tenebrite is a hosted, subscription-based software service. These Terms govern your access to and use of that hosted Service and form a binding agreement between you and the operator identified below.

These Terms of Service (“Terms”) form a binding agreement between you and Tenebrite LLC, a South Carolina limited liability company (“Tenebrite,” “we,” “us,” or “our”), governing your access to and use of the Tenebrite web application, application programming interfaces, and related services (collectively, the “Service”). Our mailing address for correspondence is 10814 Dorchester Rd #1047, Summerville, SC 29485, United States.

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms, the Privacy Policy, the Acceptable Use Policy, and any other policies referenced herein. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to subscribe to and use the Service. The Service is sold on a paid subscription basis with no free tier, so every account holder is entering a contract, and we require the account holder to have the legal capacity to do so. The Service is not directed to children; see our Children’s Privacy Notice. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Service is offered only to residents of the United States. It is not directed to, and is not offered to, users in the European Union, the European Economic Area, the United Kingdom, Switzerland, or other regions, and access from the European Union, the European Economic Area, the United Kingdom and Switzerland is blocked. By using the Service you represent that you are a resident of the United States.

3. Accounts and Security

Account creation requires authentication through a supported identity provider (currently GitHub and Google OAuth). You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at security@tenebrite.com of any unauthorized access. We are not liable for losses caused by your failure to maintain credential security.

4. The Service

Tenebrite is a personal learning workspace that lets you organize topics into “pillars,” track tasks, run focus sessions, generate AI-assisted study material via large language models, and optionally sync content to third-party tools you connect.

Specialized tracks. A specialized track starts a pillar with a concept map organized around a certification exam’s published outline. Tracks are not affiliated with or endorsed by the exam’s owner, are not official preparation material, and do not guarantee any exam result. The Service does not issue certifications.

We may add, remove, or modify Service features at any time. We will provide reasonable notice of material changes that adversely affect your existing use.

5. License Granted to You

Subject to your compliance with these Terms, Tenebrite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use, or for the internal business purposes of any organization on whose behalf you accept these Terms.

6. Your Content

You retain all rights to the content you upload, create, or store in the Service (“Your Content”). You grant Tenebrite a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and transmit Your Content solely as necessary to operate, secure, and improve the Service for you.

You represent and warrant that you own or have all necessary rights to Your Content, that its use within the Service does not infringe any third-party rights, and that it does not violate the Acceptable Use Policy.

7. AI-Generated Output

The Service uses large language models to generate study material, explanations, and assessments. AI output may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing, verifying, and deciding how to act on any AI output. See the Content & AI Disclaimer for important limitations, particularly regarding medical, legal, financial, and safety-critical use.

8. Third-Party Integrations

The Service may integrate with third-party platforms (for example, GitHub and Google) at your election. Your use of those platforms is governed by their own terms and privacy policies. Tenebrite is not responsible for third-party services, their content, or any data they process about you.

9. Fees and Billing

The Service is offered on a paid subscription basis; there is no free tier. Current pricing is presented at purchase. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring monthly basis until you cancel.

Agreeing to renewal, and your confirmation. Before you pay, you agree to automatic renewal by ticking a box beside the price and the renewal terms. After you subscribe we email you a confirmation of those terms, this cancellation policy and how to cancel, for your records, and we keep a record of your agreement as Section 9 of the Privacy Policy describes.

Renewal reminders. Before each renewal we email the address on your account to tell you the date and the amount we are about to charge, with a link to cancel or change your payment method. This is a service message about your account, so it is sent whether or not you have opted in to product email, and it is not something you can unsubscribe from while the subscription is active.

Cancellation. You may cancel at any time from your account settings. Cancellation stops future renewals; your access continues through the end of the paid period already billed.

Refunds. We offer a 7-day money-back guarantee on your first charge, subject to two conditions: you must request it within 7 days of your first payment, and your hosted AI usage for that month must be below 40% of your monthly allowance at the time of the request. Usage on your own provider key (BYOK) does not count toward that 40%. Your current usage and remaining window are shown in Settings → AI. After the window closes, and for subsequent renewals, payments are non-refundable except where required by law or in the case of a billing error. A full refund of your most recent payment ends your subscription, and your access, when the refund is issued.

AI usage allowance. Hosted AI features are subject to a monthly usage allowance. These are: the tutor; generating and grading quizzes; writing quick-review questions; generating a mastery rubric for a pillar (which happens when a pillar is set up and whenever you regenerate it); the video suggestions the tutor offers; and summarizing a lesson into your learning model. The last of those runs automatically — at the end of a lesson or when a conversation grows long, not only when you ask for it — so a small part of your allowance is used by the Service keeping your learning model current. Everything else in the Service — pillars, tasks, notes, planner, focus sessions — uses no allowance at all. When the allowance for a billing month is reached, hosted AI requests are declined for the remainder of that month; the rest of the Service — your pillars, tasks, notes, planner, focus sessions, and all existing content — continues to work normally. The allowance resets on the first of each month. Your current usage and the applicable allowance are shown in Settings → AI. You may continue using AI features without limit by supplying your own provider key (see below). We may change the allowance on notice.

Bring-your-own-key (BYOK). If you choose to supply your own third-party AI-provider key, you are solely responsible for all costs that provider bills you for your usage. Those provider charges are separate from your subscription and are neither billed nor refunded by us.

Price changes. We may change subscription pricing prospectively on at least 30 days’ notice; changes take effect at your next renewal.

10. Intellectual Property

The Service, including its software, design, trademarks, and all related intellectual property, is owned by Tenebrite or its licensors and is protected by applicable laws. Except for the limited license in Section 5, no rights are transferred to you under these Terms.

11. Feedback

If you submit suggestions, ideas, or feedback, you grant Tenebrite a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation to you.

12. Prohibited Conduct

You agree not to misuse the Service. The complete list of prohibited activities lives in the Acceptable Use Policy, which is incorporated by reference. Violations may result in suspension or termination without prior notice.

13. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or part, at any time, with or without notice, including for suspected violation of these Terms. You may terminate your account at any time by visiting Settings > Security > Delete Account or, if the Service shows you the subscription or terms page instead of Settings, with the Delete account control on that page. Termination does not relieve you of fees accrued prior to termination.

Sections that by their nature should survive termination — including Sections 6 (license to Your Content for back-up retention windows), 10, 11, and 14 through 21 — will survive.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENEBRITE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow exclusion or limitation of certain damages; in those jurisdictions liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Tenebrite and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) your use of the Service in violation of these Terms or law, or (c) your violation of any third-party right.

17. Governing Law

These Terms are governed by the laws of the State of South Carolina, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Dispute Resolution; Arbitration; Class Waiver

Please read this section carefully — it affects your rights. Except for disputes that qualify for small-claims court or for injunctive relief to protect intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current rules. Arbitration will take place in South Carolina, in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Tenebrite agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@tenebrite.com within 30 days of first accepting these Terms.

19. Export and Sanctions

You may not use the Service in violation of U.S. export-control or sanctions laws, or if you are located in, organized under the laws of, or ordinarily resident in a comprehensively sanctioned region.

20. Changes to the Terms

We may update these Terms from time to time. The “Effective” date at the top will reflect the latest version. When we change these Terms, we will ask you to review and accept the updated version in the Service before you continue using it, and we may also tell you by email. If you do not accept them, you may stop using the Service and cancel your subscription as described in Section 9. The page that asks you to accept also lets you download your data or delete your account.

21. General

These Terms, together with the documents they reference, are the entire agreement between you and Tenebrite regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign without restriction.

22. Contact

Questions about these Terms may be sent to support@tenebrite.com. The operator’s legal name and mailing address are identified in Section 1.
